1. Agreement to Terms

By accessing or using the Site or engaging our Services, you (“you”, “Client”, “User”) agree to be bound by these Terms & Conditions (“Terms”). If you do not agree with these Terms, please do not access the Site or use the Services.

2. Services

We provide consulting, coaching, and advisory services in the business growth, strategy, and leadership domains. The specific scope, deliverables, timeline, and fee structure for a given engagement will be documented in a separate engagement letter or service agreement (“Engagement Agreement”) between you and us. These Terms apply in addition to any such Engagement Agreement.

3. Use of the Site

You agree to use the Site in compliance with all applicable laws. You agree not to:

Use the Site in any unlawful manner or for any illegal purpose.

Attempt to gain unauthorized access to any part of the Site, systems or networks connected to the Site.

Upload, post or transmit any harmful, defamatory, infringing, illegal or obscene content.

Use the Site in a way that could damage, disable, overload or impair the Site or interfere with other users’ access.

4. Fees and Payment Terms

Fees for our Services will be set out in the applicable Engagement Agreement. Unless otherwise agreed:

Fees are due according to the schedule set out in the Engagement Agreement.

Late payments may be subject to interest or other charges as set out in the Engagement Agreement.

We reserve the right to suspend performance of Services if you fail to pay fees when due.

5. Intellectual Property

All intellectual property rights in the Site — including text, graphics, logos, images, software — and in any materials we provide in connection with the Services remain our exclusive property (or our licensors’). You are granted a limited, non-exclusive, non-transferable license to access and use the Site for your personal or internal business purposes in connection with our Services. You may not reproduce, distribute, modify, create derivative works, publicly display or otherwise exploit any part of the Site or materials without our prior written consent.

6. Confidentiality

Each party shall treat as confidential and not disclose any non-public information (in whatever form) of the other party, unless (a) required by law, (b) already lawfully known to the receiving party without restriction, or (c) publicly available through no fault of the receiving party.

7. Limitation of Liability & Disclaimer of Warranties

The Site and Services are provided on an “as-is” and “as-available” basis. We make no warranties, express or implied, about the Site or the Services, including any implied warranties of merchantability, fitness for a particular purpose or non-infringement.

To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with the Site or Services shall not exceed the total fees actually paid by you to us under the applicable Engagement Agreement. We shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or business opportunities.

8. Indemnification

You agree to indemnify, defend and hold harmless Lauren Sanchez Consulting and its officers, directors, employees, contractors, agents and affiliates from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys’ fees) arising out of or in connection with: your use of the Site; your breach of these Terms; your violation of any law or third-party rights; or any materials you provide to us.

9. Modifications to Services or Terms

We reserve the right to modify or discontinue the Site or Services (in whole or part) at any time, with or without notice. We also may revise these Terms from time to time. The “Last Updated” date indicates the most recent revision. Continued use of the Site or Services after such changes constitutes your acceptance of the revised Terms.

10. Termination

Either party may terminate the engagement in accordance with the Engagement Agreement. Upon termination:

You will pay for all Services performed up to the date of termination.

We may suspend or terminate your access to the Site and any materials provided.

Sections 4 (Fees and Payment Terms), 5 (Intellectual Property), 6 (Confidentiality), 7 (Limitation of Liability), 8 (Indemnification), 11 (Governing Law), and 12 (General) shall survive termination.

11. Governing Law and Dispute Resolution

These Terms and the Engagement Agreement shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflicts-of-law provisions. Any dispute arising out of or relating to these Terms, the Site or the Services shall be resolved by binding arbitration in [County], California (or such other location we agree upon) under the rules of [Arbitration Organization] then in effect. The award in the arbitration shall be final and binding.

12. General

If any provision of these Terms is held invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

You may not assign your rights or obligations under these Terms without our prior written consent; we may assign our rights or obligations without your consent.

These Terms and any Engagement Agreement constitute the entire agreement between you and us regarding the Site and Services, and supersede and replace all prior or contemporaneous agreements, proposals or communications (written or oral) between you and us.
